SCHEDULE A

GENERAL TERMS OF USE

These schedules are adapted, with thanks, from a version shared by the Centre for Social Innovation.

  1. Common Terms: the following common terms have the meaning set out below:
    Claims” means any direct or indirect liabilities, claims, damages, actions, losses or expenses, and includes any legal fees.
    Member Property” means your property, or the property or belongings of anyone you allow in the Premises.
    Premises” means anywhere at 42 Carden Street, Guelph, ON.
  2. When Fees are Due: Your Membership Fee and Coworking Package Fee (Fees), and any Additional Charges are due in advance and must be paid on or before the first day of the month.
  3. Additional Charges: Any charges for the provisions of services by 10C or use of amenities beyond the Services included in your membership (Additional Charges) shall be invoiced monthly and are due on delivery of the invoice.
  4. Interest: Annual Interest of 26.82%, compounded monthly at 2%, will be applied to all past due Fees and Additional Charges and will continue to accrue until such time that all past due Fees and Additional Charges are paid in full.
  5. Changes to Fees: Membership Fees, Coworking Package Fees, and fees for Additional Charges may be increased upon 60 days written notice from 10C.
  6. Termination: Your membership may be terminated early as follows:
  7. By Notice: 10C may terminate this Agreement at any time by giving you at least 60 days written notice.
  8. By Breach: 10C may end your membership immediately if you fail to pay any of the Fees or Additional Charges when due or if you breach any other term of this Agreement, including a breach of any 10C policy as determined by 10C, that in the sole opinion of 10C, calls for termination. Despite termination of this Agreement, you will continue to be responsible for all payments due under this Agreement until the end of the Term.
  9. No Prohibited Use: 10C’s mission is to provide shared work and meeting space primarily for social change organizations and individuals. Regardless of the type of membership (organization, individual, student or venture member), your application to become a member of 10C because we believe in the value of your project as it has been described. For that reason, Services can only be used to carry out the mission and activities that were listed in your application and approved by 10C. If you want to change the direction of your project, including the mission and activities you will be carrying out using the Services, you must get the written permission of 10C. 10C makes no representation about whether your activities comply with legal requirements and you are to satisfy yourself that your intended use of the Services is in compliance with all laws, by-laws and government rules and regulations. You may not use the Services for any unlawful or offensive purposes, as determined by 10C in its sole discretion. You may not do anything or permit anything to be done that may cause an increase to the premiums or cancellation of insurance of 10C or any other entity.
  10. Damage: You are responsible for keeping your workspace neat, clean and tidy and in a state of good repair. Except for normal wear and tear, you are responsible for any damage to property owned or leased by 10C that is caused in anyway by you or anyone you allow in the Premises (Damage). You may not make any repairs, alterations, cosmetic changes or improvements (Improvements) to your workspace or the Premises. Small appliances such as fridges and any appliances involving heat are NOT permitted outside of the kitchenettes on the 2nd 3rd and 4th floors as they may cause damage. Any unauthorized Improvements will be considered Damage. If there is Damage, you agree that you will pay, as an Additional Charge, 10C’s cost of making any repairs, which includes removing any Improvements and restoring the Premises or workspace to the condition received. In the event of accidental damage to the space, report all details to [email protected] ASAP or contact the Emergency Contacts.
  11. Limitation of Liability: 10C is not responsible for any loss or damage sustained by the Member or anyone for whom the Member is responsible, resulting directly or indirectly from the use of the Services, facilities or amenities provided by 10C, or for any reason at any time whether during or after the term of this agreement, except if the loss or damage is caused by the gross negligence or willful act of 10C. The Member agrees to indemnify 10C from any Claims arising from the use of the Services, facilities or amenities provided by 10C, by the Member or anyone the Member is responsible for, or arising from a breach of this Agreement by for the Member. This paragraph is for the protection of 10C and will survive termination of this Agreement.
  12. Insurance: 10C holds property and general liability insurance to protect its own property and interests only. This insurance does cover general liability relating to the occupants of the building. It does not carry insurance to protect personal equipment of cotenants or coworkers. 10C encourages you to speak with an insurance broker to obtain insurance that suits your specific needs including commercial general liability insurance, tenant insurance, legal liability insurance and or party and alcohol liability insurance for special events. (See also Alcohol Policy).
  13. Services and Utilities: 10C may need to carry out certain repairs or upgrades to our equipment and facilities (Work). Though 10C will always use its best efforts to minimize any interruption to you or your business, depending on the nature of the Work, Services may be temporarily unavailable without notice.
  14. Furniture and Equipment: All furniture and equipment that 10C provides to you as part of the Services belongs to 10C. To keep the shared spaces and open concept coworking space functioning, you agree that you will not alter or move any furniture or equipment supplied to you without the permission of 10C. You will be charged for any furniture or equipment that is damaged, lost, or altered. Furniture in private offices can be moved, but changes to walls, shelves, etc must be approved by 10C staff.
  15. Removal and Return of Property: On termination of your membership, you are responsible for removing Member Property and returning to 10C all of its property, including any KISI access cards and phone handsets. Member Property that remains after termination will be considered to be abandoned and 10C will take possession of or dispose of such property if left after termination of lease agreement. You are responsible for any cost incurred by 10C for removing or disposing of Member Property left behind after termination of your membership.
  16. Rules and Policies: Over time and through experience, there may be a need for 10C to change or add rules and policies regarding your use of the Services. 10C will provide 30 days notice regarding any changes or additions that will affect your use of Services. As a condition of your membership, you agree to abide by any rules or policies of 10C existing now, or in the future.
  17. No Nuisance: 10C is a shared community workspace. It is important that you do not unduly disturb others. In using the Services, in addition to the terms in the Member Co-operation Policies and House Rules, you agree that you, or anyone you allow in the Premises will not do anything that, in the opinion of 10C, is dangerous or causes a nuisance. For the benefit of the community, you agree to clean up after yourself, your employees or guests and to act with care to maintain the security of the Premises.
  18. Signage: If you have a Full-Time Permanent Desk, Team Cluster or Private Office Membership Type, depending on availability as determined by 10C, you may be entitled to a listing on the lobby directory board and signage at your desk or office in the prescribed 10C format. Please request this signage from 10C by providing your logo and signage wording. Otherwise, you are not permitted to place any signage anywhere on the Premises, unless you get written permission from 10C.
  19. Mailing Address, Promotion and Branding: By signing this Agreement, you allow 10C to use the name of your organization in 10C’s promotion material. If you are entitled to a mailbox, you should use the following form of address:

  20. Notice: 10C will deliver notice to you under this Agreement to the email address provided in in this agreement. Notice may be given to 10C by email ([email protected]). All notices delivered in accordance with this paragraph will be deemed to have been received on the date the email is sent.
  21. No Release: You agree that termination of this Agreement does not release you from your obligation to pay any Fees or Additional Charges due under this Agreement.
  22. No Assignment: This Agreement is between you and 10C. You cannot assign your membership to any other person, including for the purpose of securing a loan.
  23. Successors: The rights and liabilities under this Agreement will benefit and bind the successors, heirs and permitted assigns of the parties.
  24. Severability: You understand that if any provision or portion of this Agreement is deemed to be invalid or unenforceable, the remaining provisions of this Agreement will remain in full force and effect.

 



SCHEDULE B

DESCRIPTION OF SERVICE – MEMBERSHIP

COMMUNITY MEMBERSHIP is for people who want the benefits of the 10C community minus 24/7 access to the building, coworking desks or private workspace.

What’s included:

  • Member rates and Boost rates (if applicable) for all meeting room bookings
  • Short-term HotDesk access (at published rates) to the Carden Street Gallery/Lounge/Sidewalk Patio and 2nd Floor Library/Sunroom as available with internet privileges during business hours Monday to Friday.
  • Promotion of your venture via 10C e-bulletin, website, Facebook, and Twitter. E-bulletin promotion is generally reserved for your events happening @10C.)
  • Access to Community Collaborators to define your goals in membership.
  • Member online collaboration tools (group chat/email list).
  • Website listing identifying member and profile or mission statement.
  • Invitations to 10C Events at reduced member rates.
  • Mail delivery at 10C to be stored in secure area.
  • 10C Networking Socials and Capacity Building Workshops.
  • Opportunities to collaborate, build relationships, network with other members.
  • Eligible for Elevator Project support as provided by 10C.
  • Eligibility for Co-Hip health insurance plan.
  • Voting privileges at Annual General Meeting.
  • Eligible for nomination to 10 Carden Board of Directors.

Additional costs:

  • All other coworking and space bookings to be invoiced at membership rates.
  • Bookable storefront or interior display space for special events/campaigns.
  • Onsite digital projector rental rate is $5 half day/$10/full day for onsite use only.

What’s not included: Access to the 2nd/3rd/4th floor open concept work spaces, kitchen or printing facilities. Building access outside of normal business hours, unless booked as an event.


SCHEDULE C

DESCRIPTION OF SERVICE – COWORKING

PART-TIME LITE / PART-TIME COWORKING

An individual package that gives a person (student/individual or representing an organization) the right to use shared workstations in an open concept workspace for a limited number of hours per month. Part-time coworking seats are accessed on a first come – first-serve basis each day and location in building may vary based on usage patterns. Supplies and materials must be removed daily from work area.

  • Grad [email protected] coworking seat in open-concept shared work area includes 10 hrs/ week or 40 hrs/month of work time. This agreement also includes access to the common space areas. Applies to current College or University students only.
  • Part-Time Lite coworking seat in open-concept shared work area includes 12 hrs/ week or 48 hrs/month of work time. Access during business hours. Includes 1 hour monthly bookable space in any of the small meeting rooms.
  • Part-Time coworking seat in open-concept shared work area includes 20 hrs/week or 80 hrs/month of work time. 24/7 access to the building. Part-Time coworkers also have daytime access to unbooked meeting spaces and common areas and 2 hours monthly bookable space in any of the small meeting rooms. Share unbooked rooms for impromptu private meetings. A 1 hour limit per meeting is placed on the unbooked space usage, to allow all coworkers equal access.

What’s included:

  • All Community Member benefits above.
  • Access to the main floor lounge, 2nd floor lounges, kitchen and other shared spaces.
  • #Slack / 10C-Guelph sharedesk building communications presence for the Organization and the Individual(s) working for the organization that are located at 10C. Collaborate. Work. Share. Join in the fun.
  • Pay-for-use printing (copier/scanner/printer) /electric shredder.
  • Hosting/reception on main floor.
  • Fair trade coffee and tea (at cost).
  • Mailbox and package reception.
  • Access to 10C Community Animator, Elevator Project, yoga or other programming as provided.
  • Included wireless internet and utilities.

What’s not included: A private, designated space to work. Designated storage space (available at additional fees).

 

FULL-TIME PERMANENT DESK

Dedicated permanent desk workspace with a lockable filing cabinet in either the 2nd Floor Coworking room (noisier) or 3rd Floor Coworking Room (quieter) open concept areas. Includes mail slot, defined hours per month of meeting room time and 4 lockable filing cabinets. May be shared by two people in the same organization. Full-Time coworkers also have daytime access to unbooked meeting spaces and common areas. Share unbooked rooms for impromptu private meetings. A 1 hour limit per meeting is placed on the space usage, to allow all coworkers equal access.

What’s included:

  • All Community Member benefits above.
  • 24/7 access to the building and exclusive use of a desk in shared workspace 365 days a year.
  • Access to the main floor lounge, 2nd floor lounges, kitchen and other shared spaces.
  • #Slack / 10C-Guelph sharedesk building communications presence for the Organization and the Individual(s) working for the organization that are located at 10C. Collaborate. Work. Share. Join in the fun.
  • Pay for use printing (copier/scanner/printer) /electric shredder.
  • Use of 10C’s shared landline (519-780-5030).
  • Hosting/reception on main floor.
  • Main level signage.
  • Fair trade coffee and tea (at cost).
  • Mailbox and package reception.
  • Access to 10C Community Animator, Elevator Project, yoga or other programming as provided.
  • Included wireless internet and utilities.

What’s not included: A huge amount of privacy (because you’re in a shared workspace).

 

PRIVATE OFFICE

Dedicated, private office with a lockable door. Mail slot, defined hours per month of meeting room time. While offices may be shared by one organization with a second organization, the ability to share a package with another organization is subject to the terms set by 10C. Private Office coworking co-tenants also have daytime access to unbooked meeting spaces and common areas. Share unbooked rooms for impromptu private meetings. Includes 2nd Floor Break Out Space. A 1 hour limit per meeting is placed on the unbooked space usage, to allow all coworkers equal access.

What’s included:

  • 24/7 access to the building and exclusive use of your private space 365 days a year.
  • Access to the lounges and kitchen and other shared spaces.
  • All Community Member benefits above.
  • #Slack / 10C-Guelph sharedesk building communications presence for the Organization and the Individual(s) working for the organization that are located at 10C. Collaborate. Work. Share. Join in the fun.
  • Pay for use printing (copier/scanner/printer) /electric shredder.
  • Use of 10C’s shared landline (519-780-5030).
  • Hosting/reception on main floor.
  • Main level signage.
  • Fair trade coffee and tea (at cost).
  • Mailbox and package reception.
  • Access to 10C Community Animator, Elevator Project, yoga or other programming as provided.
  • Included wireless internet and utilities.

What’s not included: Ability to make improvements to the private office space. Consent must be given by 10C for any changes to private space. These are not commercial offices in that, members’ ability to change the paint, floors, and walls is limited, as is their ability to block light, change electrical, or modify the HVAC systems.


SCHEDULE D

MEMBER COOPERATION POLICIES AND HOUSE RULES

Now that you have lots of collaborators under the same roof, here are some general house rules to keep things happy and balanced:

1. INCLUSIVE WORKPLACE

We want everyone to feel welcome here! We expect you to be respectful of all other members. If you or anyone you know is being treated unfairly on the basis of skin colour, gender, physical ability, age, religion, political beliefs, sexual orientation, gender identity or gender expression, please speak out or let 10C Staff or the Community Host know immediately (See also Conflict Resolution Process). Big learning comes from difficult conversations.

2. GOOD PEOPLENESS (YEP, IT’S A WORD)

One of the best things about 10C is the good vibe… Bring your whole self to work, and watch for ways you can lend a helping hand. Help others make connections. Practice authenticity. Leave all pretending at the door.

3. CLEAN SPACES

We expect you to clean up after yourself! Please clean your own dishes, meeting spaces etc. Doing a little bit more = good sharing karma. We all want to work out of a clean space.

4. COMMON SECURITY

10C can’t be held responsible for lost or stolen items so please look out for your stuff and for each other! Super important: If you’re the last one in the space, you need to lock up and set the alarm. This can be done through your smartphone as well as on the physical alarm keypad. Please visit the Spaces @42 Manual for a detailed explanation of how to lock up completely and set the alarm. On a related note, please do not let visitors into the locked member spaces as this can disrupt other members and create security risks. Please ask all visitors to check in with the Front Host Desk for assistance.

5. MEETING ROOMS

Plan to have enough time to set up and to clean up when you book a meeting room. Leave the space even better than how you found it with tables and chairs in place. There is a layout plan in each room with the default table/chair configuration.

6. OFFICE CLEANING

Someone comes regularly to clean the common areas and each of the private offices. However, you’re expected to keep your area tidy.

7. NOISE LEVELS

Please be conscious of others working around you. Successful coworking requires sensitivity to your impact on others. Each person is expected to keep noise at a level consistent with a professional shared working environment and may not unreasonably disturb those around them. If you find yourself in a situation where noise is negatively impacting your work, we ask that you speak to the noisemaker first and then to 10C staff who will assist with resolution. Some rules of thumb:

Go ahead and work with others – that’s what collaboration is all about! But prolonged, louder or personal conversations should be moved to a common·area or a meeting room if not booked.

As a courtesy, please turn your cellphone ringers or Skype notices down or to vibrate while at your desk.

Lengthy phone, ichat, skype or conference calls are better suited to common areas or booking a meeting room.

Headphones are the best ‘Do Not Disturb’ sign. Put them on if you don’t want to be interrupted. Be respectful of those wearing headphones.

Please make use of Gallery Lounge, Patio and Sunroom to laugh, meet, connect, ramble, introduce, hula hoop, party and engage.

8. SCENT

10C  is striving to be a scent-free environment – please do not wear or use scented products (perfume, cologne, after shave, lotions, shampoo, conditioner, hair spray, fabric softener, dryer sheets and scented laundry detergent).

9. DOGS

Service Dogs are always welcome. Other dogs can also share time if they are well behaved and kept under control. Not everyone is as comfortable with canine tenants and some may have serious allergies that we need to consider. The Community Animator will do their best to help you navigate bringing a pet to work. If your pet’s behaviour becomes an issue we may need to ask you to leave them at home.

10. STRIVING TOWARDS BEING A ZERO-WASTE FACILITY

We try to live by our values. We buy fair trade, organic, green and local whenever possible. We strive to be a zero-waste facility and we trust that you’ll do what you canto help us reflect these values. There is a 3 stream (Green/Blue/Clear) waste system on each floor and on-site composting is collected daily. We are also a NO single-use plastic bottle zone, there is filtered drinking water in the fountain on the main floor.

In 10C meeting, event and coworking spaces, I will not use water in single-use plastic water bottles and will use filtered water instead. (please sign below)

11. LIGHT

To keep as much natural light as possible flowing into the spaces, please keep the glass portion of the walls dividing the offices free of boxes, furniture, etc. If you want to cover your office windows to block the sun, please ask your 10C Manager to find a suitable solution.

12. FLOORS

One of the most beautiful features of our building are the wood floors. Please protect the floors in your office and common areas. Matts under desks may be needed depending on the impact of office chairs. Leave wet boots off at the door or vestibule.

13. CONFLICT RESOLUTION PROCESS

Sometimes, conflicts do arise. We ask that you first try to resolve the issue directly with the other member. If the problem persists, please put the complaint in writing and email it to [email protected]. Suggestions (and complaints) can also be made through our web site. 10C staff will review the complaint, speak with both parties, and propose a solution. If the problem persists, or if either party is dissatisfied with the proposed solution, the issue will be elevated to the 10C Board of Directors. The 10C Board has final say and will offer a solution. This solution must be followed, and if the problem persists, we may choose to terminate the membership of either party based on our best judgment. 10C is committed to ensuring fairness, transparency, accessibility and accountability in the conflict resolution process. We’re happy to say we have not yet had an issue get elevated to the Board level. Our hope is that all members will show flexibility, compromise and respect, and that we can work collaboratively to address any concerns.

MEETING ROOM RENTAL POLICIES

THANKS FOR BOOKING A MEETING ROOM AT 10C. We thank you for choosing 10C and supporting our mission of creating space for change.

ACCESSING THE BUILDINGS AFTER HOURS

10C’s regular business hours are Monday-Friday, 9am-5pm. If you are booking after hours, you will have a temporary access code issued to you through our online booking system and the KISI app available on your smartphone. This will unlock the door and the alarm system. Failure to download the KISI app or request a KISI key card before your booking could mean that you are unable to access your room, yikes!

There is a $75 charge for unreturned KISI Cards. Renters will be asked to sign a separate waiver relevant to the KISI Card upon picking it up. Please note the following information if your room booking will occur during off-hours:

Please pick up your KISI electronic code through the KISI app on your smartphone (10C-Guelph) or pick up a KISI key card on the ground floor at the Welcome Desk during normal business hours Monday through Friday.

Prior to your meeting, you’re welcome to post signs on the doors of 10C with directions and contact info for your guests. You can also station a volunteer at the front reception to direct your guests to your meeting. We also post a Meeting Room schedule in the Carden Gallery Lounge that your guests can also refer to.

PLEASE NEVER EVER (WE’RE SERIOUS) PROP OPEN THE DOORS.

If you require doors to be open after hours, an additional fee for 10C staff to be on site can be arranged.

 

USING OUR SPACE

Just like the workspace, the meeting rooms are part of 10C and as such all members and their guests using the meeting rooms must abide by our Member Cooperation Policies.

The meeting rooms at 10C are also part of our DIY culture…

Hundreds of members and external clients use 10C facilities every day; please be respectful and book enough time at the start and end of your rental to account for any additional set-up or clean-up time.

A clean space is a happy space! Users of Meeting Room facilities are responsible for their own room set-up and clean-up, unless otherwise agreed to. This includes putting debris in the appropriate compost/recycling/waste bin, washing all dishes that have been used, placing used flipchart paper into the recycling, and wiping off the whiteboards or chalkboards.

Failure to leave the room(s) in a clean and undamaged condition will result in a cleaning fee of $50. (Please sign below)

If you remove or rearrange tables, chairs, or other items from the room, please return them after the booking is finished! There are floor plans posted in each meeting room location and 10C staff or volunteers are available to provide guidance during regular business hours.

Please hang up any signage on our walls with sticky tack instead of tape, which can peel off our paint, or better yet, use the cork boards and public display areas.

We strive to produce as little waste as possible – if you are bringing in snacks, please feel free to use our kitchen facilities and dishware. Each floor has a kitchenette for your use. Please wash all your own dishes, separate your waste into the proper bins, and then pat yourself on the back for making a small but meaningful difference.

Users agree to pay for any damages caused to 10C, its equipment, and its surrounding property as a result of the Meeting or Event. Please treat our space and equipment with love and care! Please approach the 10C Host Desk for assistance in finding the items you have booked.

Reserving a Meeting Room does not include use of the 10C workspace. Feel free to show your guests around the space, but they should not be in the space unattended!

10C management reserves the right to monitor all functions being held on the premises. It also reserves the right to refuse space to any group that it considers inconsistent with the purpose and policies of 10C.

10C is not responsible for items left unattended, nor is 10C responsible for unsecured rooms and common areas. We wish we had superpowers, but sadly we can’t be everywhere at once.

There is a chance that 10C may assign a different but comparable room to the user group, but will give notice and our full thanks for your understanding!

Microphones and amplification equipment are not permitted in Meeting Rooms during regular business hours, as this may affect our co-tenants and other Meeting Room renters. Computer speakers at a reasonable volume are permitted and we ask you to be courteous of those around you.

CANCELLATION

Out of fairness to all users of the space, 10C requires notice of cancellation. Bookings cancelled less than 2 weeks prior to the booking date will pay the equivalent of 30% of the booking fee. Bookings cancelled within 3 business days will pay full amount as we will not be able to re-book that date. Please note that while you may book meeting rooms on weekends, Saturday and Sunday do not count as business days and are not a part of any notice period for cancellations. To cancel a booking, simply login to your 10C-Guelph account, click on your booking, change ‘confirmed’ to ‘cancelled,’ and save. ALCOHOL POLICY

The provision of alcoholic beverages on 10C premises MUST be approved in writing by 10C staff prior to your booking. Any unapproved alcohol distribution in 10C Meeting Rooms is considered illegal and will result in the inability to book 10C space in the future, a potential financial penalty, and potential legal ramifications. 10C staff can assist with questions to help obtaining a Special Occasions Permit (SOP) from the Alcohol and Gaming Commission of Ontario. Member and non-member events with a Special Occasions Permit and alcohol will also require Party and Alcohol Insurance through PAL Canada or other similar insurance provider. Please leave plenty of time (4-6 weeks) prior to your event to coordinate these permits.

SCHEDULE F

SPECIFIC TERMS – PRIVATE OFFICE

1. Office Space: Office Space means the workspace identified in paragraph 4 of this Agreement.

2. Exclusive Use: During the Term of this Agreement, 10C grants you exclusive use of the Office Space.

3. Furniture and Equipment: All furniture and equipment that 10C provides to you as part of the Services belongs to 10C. Furniture in private offices can be moved, but changes to walls, shelves, etc must be approved by 10C staff. You will be charged for any furniture or equipment that is damaged, lost, or altered. 4. Access: Though you will have exclusive use of the Office Space, 10C has the right to enter at any time for all reasonable purposes. 10C cares about your business and will exercise discretion in entering your Office Space.

5. No Registration: You may not register any notice of this Agreement on title to the Premises.

6. Alterations: Unless 10C agrees otherwise, you will be responsible for restoring the Office Space to the condition it was received, at your cost.

7. Set-off: You agree to waive any right to set-off your Deposit against any Fees and Additional Charges owed by you to 10C..

8. No Interest in Land: You agree that nothing in this Agreement is to be interpreted as giving you or creating an interest in land or giving any greater right than a license personal between you and 10C.

9. Subordination: Your rights under this Agreement are subordinate to all existing and future mortgages and any other secured financing on the Premises.
